What are the incorporation formalities relating to LLPs?
LLPs shall be registered with the Registrar of LLP after following the provisions specified in the LLP Act. For the purpose of the forming a LLP, the necessary documents shall be required to filed electronically through www.llp.gov.in . For more information check out, ’Form LLP’ on the home page
Whether LLP requires a registered office?
Yes, and the same is required to be specified in the incorporation document of the LLP.
What is the treatment for stamp duty issues, both in terms of original incorporation and conversion from other business structures? Would there be any stamp duty exemption in case of conversion?
The Act does not contain any provision for treatment of stamp duty issues either on incorporation of an LLP or on conversion of other entities into LLP since this is a subject reserved for the States. The stamp duty paid will depend upon the relevant statute prescribed by the State Government.
Till date necessary amendments are not made in the respective state laws, the stamp duty payable under the category "other agreements" in the schedule to the respective state law will be applicable in case of incorporation.
Whether foreigners can incorporate LLP ?
Yes, the LLP Act 2008 alows Foreign Nationals including Foreign Companies & LLP to incorporate a LLP in India. But till date necessary guidelines in respect of foreign investment in LLP are not issued , thay cannot incorporate the same.
